Shift4 Extends Tender Offer for Acquisition of Global Blue
Shift4 Payments, Inc. (NYSE: FOUR) has announced an extension of its previously declared all-cash tender offer to acquire all outstanding shares of Global Blue Group Holding AG (NYSE: GB). The offer is being conducted through Shift4’s indirect wholly owned subsidiary, GT Holding 1 GmbH, a Swiss limited liability company.
The tender offer is being carried out under the terms of a transaction agreement dated February 16, 2025, between Global Blue and Shift4, and later joined by GT Holding 1 GmbH on February 25, 2025.
The transaction remains subject to several conditions, including regulatory approvals in specified jurisdictions, customary closing requirements, and satisfaction of a minimum tender threshold. The 90% minimum tender condition has already been met. The transaction is on track for completion by the third quarter of 2025.
Global Blue’s board of directors has unanimously recommended that all shareholders tender their shares. The offer will remain open until one minute after 11:59 p.m. (New York City time) on May 6, 2025. It may be further extended depending on the progress of required regulatory approvals.
According to Equiniti Trust Company, LLC, the depositary and paying agent for the offer, as of one minute after 11:59 p.m. (New York City time) on April 17, 2025, a total of approximately 231,574,334 shares have been validly tendered and not withdrawn. This represents about 96.42% of Global Blue’s outstanding shares. Shareholders who have already tendered their shares do not need to take additional action.
